Registration Process

Entity Name Reservation

Company founders must submit a name reservation application to the Business Development Department (DBD) of the Ministry of Commerce of Thailand. Applications can be submitted via paper form or through the automated system on the official website. The application must include one preferred company name and two alternative names. If the company plans to use the electronic registration system, it must be done through the automated booking system and the electronic registration option must be explicitly selected.

Submit the Company's Memorandum and Articles of Association (MOA)

After the name reservation is approved, the company must formally submit its articles of association to the Business Development Department. These articles of association must detail the company name, the province where the headquarters is located, the company’s objectives, registered capital (number and par value of shares), information on the founders, and information on witnesses, among other core information.

Apply for an Enterprise Registration Certificate (ERC)

After successfully obtaining the IRC, you can apply for a Certificate of Incorporation (ERC) from the Enterprise Registry. The approval of this certificate marks the formal establishment of a legal entity in Vietnam, and its number will serve as the company’s unique tax registration number. The application materials mainly focus on corporate governance documents such as the articles of association and letters of appointment for directors. Compared to the previous step, the ERC approval process is extremely efficient, with a statutory processing time of only 3 working days.

Convene a statutory meeting

Once the shareholding structure is determined, a statutory meeting can be convened. The core agenda of the meeting includes: adopting the company’s articles of association, approving the contracts and fees for the initiation phase, determining the number and rights of preferred shares, confirming the share subscription method, and appointing the first directors and auditors.

Formal registration

Directors must submit a formal application for company incorporation within three months of the date of the statutory meeting; failure to register within this period will render the statutory meeting invalid. Information regarding the proposed auditor must be provided during the registration process. Furthermore, for private limited companies, at this stage, it must be ensured that at least 25% of the subscribed shares have been fully paid up as required, and the government registration fee based on the registered capital must be paid.

Tax and social security account registration

Tax Registration: Companies must apply for a tax ID and number from the tax office within 60 days of incorporation. If the company’s annual turnover exceeds 1.8 million Thai Baht, it must also register for value-added tax (VAT) within 30 days of reaching that threshold.
Social Security Registration: As long as a company employs at least one employee, it is obligated to register for an employer’s account with the Social Security Office within 30 days of the commencement of the employment relationship.
