Registration process
Confirm visa and residency status
Foreigners operating companies in Japan typically need to obtain a “Business Manager Visa” or a similar investment visa. To meet the application requirements for this visa, it is usually necessary to prove that the company has at least 5 million yen in capital and a viable business plan. Currently, Japan no longer mandates that a company have a local representative director residing in Japan at the time of establishment, but having a local representative can assist with many preliminary local procedures.
Establish basic company information and lease office space
Before registration, you must determine your company name (using Japanese characters), business scope, and entity type (e.g., KK Co., Ltd. or GK Co., Ltd.). You must also have a physical office address in Japan. Virtual offices, registered addresses that are merely registered, or offices that double as residences generally do not meet the office location verification requirements for a “Business Management Visa.”
Prepare and notarize the company's articles of association and personal statements.
The initiator needs to draft core company bylaws including the company name, objectives, and director information, and these must be notarized at a notary office. Foreigners residing in Japan can obtain a “Seal Certificate” from the city hall (provided they have registered their residence card and seal). Foreigners residing overseas need to provide a “Signature Certificate” issued by their home country’s local government or notary office, along with a corresponding Japanese translation, as a substitute for seal proof. In addition, an official company seal must be made.
Inject initial capital
A temporary bank account needs to be opened and the initial capital deposited to start operations must be deposited. A bank statement showing the deposited capital or relevant transaction records must be provided when submitting the registration application.
Submit a registration application to the Legal Affairs Bureau
Submit the complete set of official documents, including the Japanese version of the registration application, the notarized articles of association, the capital contribution certificate, and the representative’s signature certificate or seal registration form, to the legal affairs bureau in the jurisdiction.
Various applications and account openings after establishment
After completing registration with the Legal Affairs Bureau, the company must submit a corporate establishment declaration to the tax office and municipal government within two weeks. If the company employs staff, it must also complete the necessary procedures for health insurance, welfare pension, and labor insurance with the pension office and public employment security office. Finally, a permanent business bank account must be opened using a formal copy of the company’s registration certificate.
